Company registration

Registration of legal entities in Montenegro

In accordance with the laws in Montenegro can register the following organizational-legal forms of enterprises:

   1. Individual entrepreneur - «Entrepreneur».
   2. Simple partnership (a partnership with unlimited liability) - "OD".
   3. Limited Partnership (limited partnership) - "KD".
   4. Joint Stock Company - "AD";
   5. Limited Liability Company - "DOO".
   6. Branches of oversea companies.

Any foreigner can become a founder of the firm, except for such activities as:

    * Sale and manufacture of weapons;
    * Activities in the national nature reserves and border areas.

The most common form of registration is - DOO

Conditions of registration:

    * The number of directors - at least one;
    * Director can be both resident and non-resident, founder of the company;
    * The number of founders of the company may be from one to thirty people, co-founder of Montenegro is not required;
    * Prerequisite is the provision of financial statements;
    * Share capital for D.O.O. - A minimum of 1 euro, bearer shares are not issued. When registering a private entrepreneur, partnerships and affiliate share capital is also not required. When you open joint stock company share capital must be at least 25 000 euros.

The main stages of registration of the company (description and order):

Preparation of documents.

   1. At this stage, the founders must determine the legal form of the future of the enterprise, come up with the company name and check its recurrence, to determine the amount of share capital, to determine the activities of the company (recommended inscribe the widest list) and address of the company's future. If the founders of the company's future will be legal entities, should prepare their statutory documents and the decision to establish a subsidiary / representative (translated into the Montenegrin language and certified by the court).

Filing for registration.

   1. Filing in the Central Register of the Commercial Court in Podgorica: Memorandum and Articles (1 ind.) Obtaining permission to use the office (in case of economic activity).

The permit is issued in the community. For this we need to pay appropriate fees and submit:

    * Certified by a court agreement to rent office space (and its copy), the office must be located in a building that has passed the technical acceptance, and meets all the necessary sanitary and technical standards;
    * Registration Certificate (List Nepokretnosti) from the owner of the office (and photocopy);
    * Old permission to use the office space (usually enough to photocopy a document, under confirm that the premises previously used as an office or shop);
    * The decision on registration of a company from TSRPS (and photocopy);
    * Documents confirming the company to register with the local tax authorities (and photocopies).

Permission for the installation of advertising is paid for separately - after receiving permission to use the office.

Further extension of the company's registration.

It is mandatory: the extension of registration of a company in the Commercial Court of Podgorica. Registration of such forms of ownership such as: AD, DOO and KD expire exactly 365 days from the date of the last registration. For renewal must appear in person or send by mail an application for renewal of registration 10 days before the date of the previous registration. In case of not renewing the registration on time offenders waiting for a penalty: for DOO - In size from 100 to 1,000 euros, and for joint stock companies - 10,000 euros. At renewal, the firm will be charged tax.

Also required are: renewal of a work permit after its expiration date.

Cost of services.
